NAHCO Approves Dividend and Bonus Share Issue at 45th AGM

Nigerian Aviation Handling Company Plc has announced the resolutions passed at its 45th Annual General Meeting, held electronically on 15 May 2026.

At the meeting, shareholders approved a dividend of ₦6.25 kobo per share, amounting to ₦12,181,640,625.00, in respect of the year ended 31 December 2025.

Shareholders also approved the re-election of Mr Abdulhamid Aliyu, Rev. Victor Abimbola Olaiya and Mrs Adebisi Oluwayemisi Bakare as directors of the company.

PricewaterhouseCoopers (PwC) was appointed as the company’s external auditors with effect from the 2026 financial year, while the directors were authorised to fix the auditors’ remuneration for the year ending 31 December 2026.

The company also received approval to increase its share capital from ₦974,531,250.00, divided into 1,949,062,500 ordinary shares of ₦0.50k each, to ₦1,113,750,000.00, divided into 2,227,500,000 ordinary shares of ₦0.50k each.

This will be achieved through the creation of an additional 278,437,500 ordinary shares of ₦0.50k each, ranking pari-passu with the existing ordinary shares.

The directors further recommended that ₦139,218,750.00 be transferred from the company’s retained earnings or other reserve accounts to the share capital account. The amount represents the value of 278,437,500 ordinary shares of ₦0.50k each to be allotted and distributed to members on the company’s Register of Members at the close of business on Friday, 1 May 2026.

The bonus issue will be distributed in the proportion of one new share for every seven existing shares held. The shares distributed will rank pari-passu with the existing shares in all respects and will be treated as capital and not as income.

The company also renewed its general mandate to procure goods and services and enter into incidental transactions necessary for its day-to-day operations from related parties or interested persons on normal commercial terms.
